Parties and Definitions

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Mojo Control Solutions Pty Ltd (ABN 33 563 327 309), trading as ClinicShield ("we", "us", "our"), located at Point Cook, Victoria, Australia.

In these Terms, the following definitions apply:

Acceptance of Terms

By accessing or using the ClinicShield Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Disclaimer. If you do not agree to these Terms, you must not use the Service.

You confirm that you are authorised to enter into this agreement on behalf of your medical practice or organisation, and that your use of the Service complies with all applicable Australian laws and regulations.

These Terms apply to all users of ClinicShield including beta users receiving free access during the beta period.

Description of Service

ClinicShield is a web-based compliance tracking and reminder tool designed for Australian medical practice managers. The Service provides a Red/Amber/Green dashboard covering AHPRA registration tracking, staff credential expiry management, sterilisation validation records, and Medicare readiness checklists.

The Service is a compliance tracking tool only. It does not provide legal, medical, regulatory, or professional advice. Practice managers and clinic owners remain solely responsible for ensuring their practice meets all applicable regulatory requirements. Refer to our Disclaimer for full details.

Important: ClinicShield does not verify the accuracy of data you enter, does not connect to AHPRA, Medicare, or any government systems, and does not guarantee regulatory compliance.

Licence and Access

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal practice management purposes during the term of your subscription or beta access period.

Each Licence Key is issued to a single practice. If you operate multiple practice locations, each location requires a separate licence.

Beta Service Conditions

ClinicShield is currently offered as a beta service. During the beta period, the following conditions apply:

In exchange for free beta access, we may ask for your feedback on the Service. Participation in feedback is appreciated but not mandatory.

When the beta period ends, continued access will require a paid subscription. We will provide reasonable notice before transitioning from beta to paid service.

Acceptable Use

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not use the Service to:

We reserve the right to suspend or terminate your access immediately if we reasonably believe you have breached these acceptable use conditions.

Accounts and Security

Access to the Service is controlled via a unique Licence Key and supporting security controls appropriate to the current stage of the platform. You are responsible for maintaining the confidentiality of your Licence Key and for all activity that occurs under your access credentials.

You agree to notify us immediately at moe@mojocontrolsolutions.com.au if you become aware of any unauthorised use of your Licence Key or any breach of security.

We will not be liable for any loss or damage arising from your failure to maintain the confidentiality of your Licence Key.

Payment and Refunds

ClinicShield is currently free during the beta period. This section applies when paid subscriptions are introduced.

Pricing

Subscription pricing will be published on the ClinicShield website prior to the end of the beta period. Current indicative pricing is:

All prices are in Australian dollars and are inclusive of GST where applicable. Pricing is subject to change with 30 days written notice to existing subscribers.

Billing

Subscriptions are billed on a monthly basis in advance. Payment is processed via our nominated payment provider. By providing payment details, you authorise us to charge the applicable subscription fee on a recurring basis until cancellation.

Cancellation

You may cancel your subscription at any time by contacting us at moe@mojocontrolsolutions.com.au. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period.

Refunds

We offer a 7-day refund period from the date of your first paid subscription. Refund requests after this period will be considered at our discretion. Refunds will not be provided where the Service has been used to manage active compliance records during the billing period.

Intellectual Property

The ClinicShield Service, including its software, design, user interface, branding, content, and all related intellectual property, is owned by Mojo Control Solutions Pty Ltd and is protected by Australian and international intellectual property laws.

These Terms do not transfer any intellectual property rights to you. Your licence to use the Service does not include any right to copy, modify, distribute, or create derivative works based on the Service or its components.

Your Content

You retain full ownership of all Practice Data you enter into the Service. By using the Service, you grant us a limited licence to store and process your Practice Data solely for the purpose of providing the Service to you. We do not claim any ownership over your Practice Data.

Your Data

Your use of the Service and our collection and handling of your Practice Data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the terms of our Privacy Policy.

You are responsible for ensuring that any personal information you enter into the Service — including staff names, AHPRA registration numbers, and credential details — is accurate, up to date, and that you have the authority to enter such information on behalf of your practice.

Upon termination of your access, we will retain your Practice Data for 30 days to allow for data export requests, after which it will be permanently deleted, unless required otherwise by law.

You may request a copy of your Practice Data at any time by contacting us at moe@mojocontrolsolutions.com.au.

Limitation of Liability

To the maximum extent permitted by Australian law, Mojo Control Solutions Pty Ltd, its directors, employees, and contractors shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from your use of or inability to use the Service, including, but not limited to:

Where liability cannot be excluded under Australian Consumer Law, our liability is limited to the resupply of the Service or a refund of the fees paid for the period in which the issue arose, whichever we elect.

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited.

Termination

Termination by You

You may terminate your use of the Service at any time by ceasing to use the Service and notifying us at moe@mojocontrolsolutions.com.au. For paid subscribers, cancellation terms in Section 8 apply.

Termination by Us

We may suspend or terminate your access to the Service immediately and without notice if:

Effect of Termination

Upon termination, your licence to use the Service immediately ceases. We will retain your Practice Data for 30 days following termination, after which it will be permanently deleted, unless required otherwise by law. You are responsible for exporting any data you require prior to termination.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days written notice of material changes to active users via email. Minor changes such as clarifications or corrections may be made without notice.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cease using the Service before the effective date of the changes.

Governing Law

These Terms are governed by the laws of the State of Victoria, Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of Victoria, Australia for the resolution of any disputes arising from or in connection with these Terms or your use of the Service.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

These Terms are subject to applicable Australian Consumer Law. Nothing in these Terms is intended to exclude, restrict, or modify any rights you may have under Australian Consumer Law.
